Terms of Service

Terms used in these Terms shall have the following meanings:

• “Service” means Clipes and all related features and APIs provided by us.
• “User” means any individual or legal entity that uses the Service in agreement with these Terms.
• “Paid Plan” means the paid features of the Service available through a monthly subscription.
• “LLM Provider” means third-party large language model API providers with which the Service integrates for analysis processing.

The service agreement is formed when the User registers an account through our designated method with agreement to these Terms and we approve the registration.

Minors must obtain consent from their parent or legal guardian before using the Service.

Pricing plans and payment terms are as specified on the Pricing page and in the Specified Commercial Transactions Act Disclosure.

Paid plans are billed monthly in advance and renew automatically unless cancelled. Upon cancellation, the Service remains available through the end of the current billing month. We do not provide refunds for amounts already paid.

Users must not engage in the following activities when using the Service:

• Acts that violate laws, regulations, or public order and morals
• Acts that infringe on the intellectual property rights, privacy, or other rights of the Service or third parties
• Unauthorized use of another person's account or impersonation
• Reverse engineering, unauthorized vulnerability scanning, DoS attacks, scraping, or any other acts that interfere with the operation of the Service
• Excessive API calls or continuous mass access beyond the scope of the service agreement
• Using the Service to generate or distribute unlawful content
• Any other conduct we deem inappropriate

All copyright, trademark rights, and other intellectual property rights in the Service belong to us or the rightful rights holders. Users may not use these rights beyond the scope of use permitted under these Terms.

Rights in data uploaded by Users to the Service and analysis results generated therefrom remain with the respective User. We may use such data only to the extent necessary for providing and improving the Service.

The Service obtains analysis results by transmitting user data to LLM Providers. The accuracy, completeness, and usefulness of such results depend on the behavior of LLM Providers. We make no warranty regarding the content of analysis results or decisions made based on such results.

We shall not be liable for damages incurred by Users due to changes to the Service content, temporary suspension, or discontinuation, except in cases of our intentional misconduct or gross negligence.

Where we bear liability for damages to a User, the scope of such liability is limited to direct and ordinary damages actually incurred by the User attributable to our fault, and capped at the total amount of fees paid by the User to us in the three months preceding the occurrence of the damage, except where such limitation is not permitted by mandatory provisions including the Consumer Contract Act.

Users may terminate the service agreement at any time through the designated procedures on the Service.

We may, without prior notice, suspend a User's account or terminate the service agreement if the User violates these Terms. We shall not be liable for any damages incurred by Users as a result.

These Terms shall be governed by and construed in accordance with Japanese law.

In the event of any dispute between a User and us in connection with the Service or these Terms, the Fukuoka District Court shall have exclusive jurisdiction as the court of first instance.

We may amend these Terms without prior notice to Users when we deem it necessary. Amended Terms take effect from the time they are posted on the Service. If a User uses the Service after the amendment, they are deemed to have agreed to the amended Terms.
